RELATIONSHIP SUMMARY DALMORE GROUP LLC We are Dalmore Group LLC (“Dalmore”), a broker-dealer registered with the Securities and Exchange Commission (“SEC”). This summary highlights Dalmore and the nature of our brokerage client relationships. Of course, brokerage and investment advisory services and fees differ, which is why it’s important for you to understand these differences. What investment services and advice can you provide me? Dalmore offers brokerage services to institutional and retail investors, limited to private placement investments only. At all times, your Dalmore representative will be acting in the capacity of a Registered Representative of a broker-dealer. We do not provide brokerage accounts or offer account monitoring. Our brokerage services are non-discretionary, which means you’re in charge of the ultimate investment decisions. We offer the opportunity to execute self-directed trades in a secondary market for Reg A investments.
We don’t have minimums, but investments are subject to the issuer’s terms and acceptance.

What do these qualifications mean? What fees will I pay? In most cases, the issuing company pays transaction-based fees directly to Dalmore in the amount of a percentage of the total investment for your purchases. The fee paid to Dalmore does not reduce the amount that you invested and is specific to the offering as listed in the offering document. There can be expenses built into the investment itself. Please carefully review the offering memorandum and subscription documents for details on fees and terms of your investment. We will only offer investments where we have been engaged by the issuing company directly, or as a sub-agent with another broker-dealer. For secondary market trades, you will pay certain transaction-based fees (commissions) up to 2.5% of your purchase or sell. Where these fees apply, the more transactions you enter into, the more compensation that we and your financial professional receive. This compensation creates an incentive for us to encourage you to invest. You will pay fees whether you make or lose money on your investments. When we provide you with a recommendation, we have to act in your best interest and not put our interest ahead of yours. At the same time, the way we make money creates some conflicts with your interest. We and our affiliates primarily make money from recurring fees for various services we provide to issuer companies, including:
- Investment banking Advisory and consulting services
- Technology
- Administration and compliance support
These fees vary by offering type and are published on our website. You should understand and ask us about these conflicts because they can affect the recommendations we provide you. The fees for unregistered securities are substantially higher than you would pay to invest in publicly traded securities. It is important to consider that purchasing these exempt offerings may provide a cost-effective way to invest in private companies and/or secure immigration, however they are not for everyone given the risks and costs involved.
